Thomas G. Voekler is a member of the firm's Business section. His practice focuses principally on corporate finance, public and private securities offerings, private equity and corporate governance issues, with a particular focus on real estate investment trusts (REITs), tenant-in-common syndications (TICs) and private placements of real estate investments. Tom has represented leading regional, national and international investment banking firms in initial and follow-on public offerings and private placements for REITs.
Relevant Experience:
- Represented numerous sponsors of REIT, TIC and private equity syndications.
- Represented companies in going private transactions.
- Represented leading regional, national and international investment banking firms in initial and follow-on public offerings and private placements for REITs of equity and debt securities.
- Advised public and private companies and non-profits with respect to corporate governance initiatives under the Sarbanes-Oxley Act of 2002 as well as securities law reporting compliance and other general corporate matters.
- Acted as company counsel in an over $1 billion merger of a mortgage REIT and a non-REIT, corporate affiliate.
- Represented venture capital funds with respect to preferred stock investments.
